Terms & Conditions

Last Updated: September 8th, 2026

These Terms and Conditions ("Terms") govern the provision of services by Covenant Coast AI, LLC ("Covenant Coast AI," "we," "us") to the business identified on the associated Service Order Form ("Customer," "you"). By signing a Service Order Form or otherwise using our services, Customer agrees to be bound by these Terms.

1. Services

Covenant Coast AI provides white-labeled AI-powered communication automation services, including phone and chat agents, to help Customer manage customer interactions, appointment scheduling, and related business communications ("Services"). The Services are powered in part by third-party artificial intelligence technology platforms. Covenant Coast AI does not own or control the underlying AI technology and makes no representation that it does.

2. Term and Termination

2.1 Initial Term. If Customer selects the 3-Month Commitment option on the Service Order Form, the minimum total commitment is four (4) months from the Service Start Date: the first month is provided at no charge (excluding any usage overages), followed by three (3) paid months, with no setup fee. Customer may submit a 30-day written cancellation notice starting on Day 90 of service, so that the notice period runs concurrently with the 4th (final) month, resulting in no billing beyond the 3 paid months.

2.2 Month-to-Month Option. If Customer selects the Month-to-Month option, service begins immediately upon payment of the applicable setup fee, with no initial commitment period and no free month.

2.3 Auto-Renewal. Following the Initial Term (if applicable), this Agreement continues on a month-to-month basis until terminated by either party with thirty (30) days' written notice (email is sufficient).

2.4 Effect of Termination. Upon termination, Customer remains responsible for all fees accrued through the termination date, including any usage overages.

3. Fees and Billing

3.1 Monthly Fees. Customer will be billed the monthly fee corresponding to the package selected on the Service Order Form, in advance, on the same date each month.

3.2 Overages. If Customer's usage exceeds the unit allotment for their selected package in a given month, Covenant Coast AI will bill the applicable overage rate for the excess units.

3.3 Tier Adjustments. If Customer's actual usage consistently exceeds their selected package, Covenant Coast AI will notify Customer and recommend an appropriate package change. Any change in package and pricing requires Customer's confirmation before taking effect.

3.4 Late Payment. Payments not received within ten (10) days of the due date may result in suspension of Services until payment is received. Covenant Coast AI reserves the right to charge a late fee of 1.5% per month on overdue balances.

3.5 Setup Fees. The one-time setup fee (if applicable) is non-refundable once Services have commenced.

4. Customer Responsibilities

4.1 Accurate Information. Customer is responsible for providing accurate business information and promptly updating Covenant Coast AI of any changes relevant to Service delivery.

4.2 Consent and Compliance. Customer is solely responsible for obtaining all consents required by applicable law (including the Telephone Consumer Protection Act ("TCPA"), state telemarketing and privacy laws, and any industry-specific regulations such as HIPAA where applicable) before using the Services to contact, call, text, or otherwise communicate with Customer's own customers, patients, or clients. Covenant Coast AI provides the technology; Customer is responsible for how it is used, including ensuring proper consent and opt-out mechanisms are in place.

4.3 Lawful Use. Customer agrees not to use the Services for any unlawful, fraudulent, harassing, or deceptive purpose.

4.4 Cooperation. Customer agrees to provide reasonably timely feedback, approvals, and information needed for Covenant Coast AI to configure and maintain the Customer's AI agent(s).

5. Data and Privacy

5.1 Customer Data. All data Customer submits or that is collected through Customer's use of the Services ("Customer Data") remains the property of Customer.

5.2 Processing. Covenant Coast AI and its underlying technology providers process Customer Data solely to provide, support, and improve the Services, and as necessary to comply with applicable law.

5.3 Third-Party Data Subjects. Customer is responsible for ensuring appropriate notice and consent is provided to individuals (such as Customer's own callers, patients, or clients) whose personal data may be processed through the Services.

6. Intellectual Property

6.1 Covenant Coast AI Technology. Covenant Coast AI and its technology providers retain all right, title, and interest in the underlying platform, software, and technology used to deliver the Services. No ownership rights transfer to Customer.

6.2 Customer Content. Customer retains ownership of its own business content, branding, scripts, and materials provided to Covenant Coast AI for configuration of its AI agent(s), subject to a limited license granted to Covenant Coast AI and its technology providers to use such content solely to deliver the Services.

7. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or customer information disclosed by the other party in connection with the Services, and to use such information solely for purposes of this Agreement.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COVENANT COAST AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET CUSTOMER'S SPECIFIC REQUIREMENTS, AS THE SERVICES DEPEND IN PART ON THIRD-PARTY TECHNOLOGY PLATFORMS OUTSIDE COVENANT COAST AI'S CONTROL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVENANT COAST AI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO COVENANT COAST AI IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT SHALL COVENANT COAST AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST REVENUE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

Customer agrees to indemnify, defend, and hold harmless Covenant Coast AI, its owners, and personnel from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) Customer's failure to obtain required consents from its own customers, patients, or clients; (b) Customer's violation of applicable law, including the TCPA or other privacy/telemarketing laws; (c) Customer's misuse of the Services; or (d) content, scripts, or instructions provided by Customer for use in its AI agent(s).

11. Force Majeure

Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, internet or utility outages, or third-party platform outages.

12. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict of laws principles.

13. Amendments

Covenant Coast AI may update these Terms from time to time by posting the updated version at covenantcoastai.com/terms. Material changes will be communicated to active Customers via email at least fourteen (14) days before taking effect. Continued use of the Services after that date constitutes acceptance of the updated Terms.

14. Entire Agreement

These Terms, together with the applicable Service Order Form, constitute the entire agreement between Customer and Covenant Coast AI regarding the Services and supersede any prior agreements or understandings, written or oral.
